Terms of Service

Welcome to Skylit. These Terms of Service ("Terms") are an agreement between you and Skylit, Inc. ("Skylit," "we," "us"). They govern your use of our websites (including skylit.ai and docs.skylit.ai), the Skylit web, desktop and mobile applications, Live Stages, our Discord community, our APIs, and all related products and services (collectively, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, purchasing a subscription, joining a waitlist, or otherwise using the Services, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. Additional terms shown at the point of purchase or inside a feature (for example, the Live Stages participant agreement) also apply and form part of these Terms.

2. Description of Services

Skylit provides market data visualization, analytics and educational tools for self-directed traders, including Heatseeker, Flowseeker, Atlas, Nexus, Tempest, Talon, Live Stages, the Skylit Academy and related features. Skylit displays information derived from market data, such as dealer positioning, options flow and implied volatility readings, together with educational content and an AI assistant that explains that information.

Some features are labelled Beta, preview, experimental or "coming soon." These may change, be limited to certain plans, or be withdrawn at any time, may contain errors, and are provided without any commitment to availability or accuracy. Announced features and target dates are plans, not promises.

3. Eligibility

You must be at least 18 years old and able to form a binding contract. You may not use the Services if you are barred from doing so under applicable law, including U.S. sanctions laws. You are responsible for complying with the laws that apply to you where you live.

4. Accounts

You may need an account to use certain features. You are responsible for:

• Keeping your credentials confidential and your account information accurate
• All activity under your account
• Telling us promptly at support@skylit.ai about any unauthorized use

Accounts are personal to one individual and may not be shared, sold or transferred.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including market manipulation, fraud or any activity that violates securities, commodities or consumer-protection laws
• Attempt to gain unauthorized access to, interfere with, or disrupt the Services or their infrastructure
• Reverse engineer, decompile, disassemble, or attempt to derive the methods, models, formulas or source of any part of the Services, including by systematically querying the Services or Talon
• Scrape, crawl or extract data from the Services by automated means, except through an API we provide and within its terms
• Use the Services or their output to build, train or improve a competing product or model
• Live-stream, simulcast or broadcast real-time views of the Services to any audience, including streaming platforms, video conferencing tools or community servers such as Discord
• Share credentials or give real-time access to anyone who does not hold their own active subscription
• Harass, threaten, impersonate or defame others, or post unlawful, infringing or misleading content in any community space, including Live Stages and Discord
• Present Skylit content as your own personalized advice to others, or represent that Skylit endorses your trading, signals or services

6. SMS Alerts and Text Messaging

Skylit offers an optional SMS alert program that delivers alerts based on the conditions and watchlists you configure. By providing your mobile number and opting in, you consent to receive automated text messages from Skylit at that number. Consent is not a condition of purchase.

• Message frequency: varies with the alerts you configure.
• Message and data rates may apply. Skylit does not charge for SMS alerts, but your carrier may.
• To cancel: reply STOP to any message, or turn off SMS alerts in your account settings. You will receive one confirmation message, after which no further messages will be sent.
• For help: reply HELP, or contact support@skylit.ai.
• Carrier liability: wireless carriers are not liable for delayed or undelivered messages.
• Eligibility: you must be 18 or older and the account holder or authorized user of the number. Tell us if you stop using that number.

SMS alerts are best-effort and may be delayed, undelivered or out of order. Do not rely on SMS alerts for time-sensitive trading decisions. Alerts are informational only and are not advice (Section 7). Our handling of mobile numbers is described in the Privacy Policy; we do not sell, rent or share mobile numbers with third parties for marketing.

7. No Investment Advice; Risk Disclosure

Skylit is not registered as an investment adviser, broker-dealer, commodity trading advisor, futures commission merchant or introducing broker, and does not provide personalized advice. The Services are impersonal: the same data, tools and educational content are available to all users of a plan, and nothing is tailored to your financial situation, objectives or risk tolerance. Skylit does not act as your fiduciary.

All data, levels, readings, scores, labels, alerts, projections, charts, scans and other output in the Services, including any response from Talon or other AI features and any price level, range, "setup," or scenario they describe, are market data and educational information only. They describe what market data shows or has shown; they are not predictions, signals or recommendations to buy, sell, hold or otherwise trade any instrument, and they do not account for your circumstances.

Content shared by Skylit staff, hosts, speakers, community members or other users (including on Live Stages, in Discord, in the Academy and in commentary features) reflects the personal views of the speaker, is educational, and is not advice from Skylit. Past examples, case studies and historical statistics are not indications of future results.

Trading stocks, options and futures involves substantial risk of loss and is not suitable for every investor. You can lose more than your initial investment in options and futures. You are solely responsible for your trading and investment decisions and their outcomes. Before trading, consider consulting a licensed financial professional.

8. Market Data and Accuracy

The Services use market data obtained from exchanges and third-party providers, along with values Skylit derives from that data using proprietary methods. Market data may be delayed, incomplete, interrupted or inaccurate, and derived values are estimates. We do not guarantee the accuracy, completeness, timeliness or availability of any data or output, and you should verify information independently before acting on it.

Exchanges and data providers may impose their own terms on the use of their data. You agree to comply with them, to use market data only for your own personal use unless we agree otherwise in writing, and to provide accurate information about your status (for example, whether you are a professional or non-professional subscriber) when asked.

9. AI Features (Talon)

Talon and other AI features generate responses automatically. AI output can be incomplete, outdated or wrong, can misread a question, and may sound more confident than the underlying data supports. Treat AI output as a starting point for your own research, not as a conclusion. AI output is subject to Section 7. You are responsible for what you ask, and you must not submit information you are not permitted to share.

10. Paper Trading, Leaderboards and Performance Figures

Nexus paper trading uses simulated money. Simulated or hypothetical results have inherent limitations: they do not involve real financial risk, may not reflect real fills, liquidity, slippage, fees or the emotional pressure of live trading, and do not indicate how you or anyone else would perform with real money. Leaderboards, statistics and profiles show simulated activity only.

Where we show reviews, testimonials or member results, they are the personal experience of those individuals, are not typical, and are not a guarantee or prediction of your results. Some reviewers may have received benefits such as account credits or affiliate commissions; where a reviewer or promoter has a material connection to Skylit, we require that it be disclosed.

11. Live Stages and Community Spaces

Live Stages are live audio, video and screen-sharing rooms. Stages may be recorded, transcribed and summarized by AI, and recordings, transcripts, clips, summaries, chat messages and your display name may be shown to other members and kept in replays. By speaking, sharing your screen, turning on your camera or posting in a stage, you consent to this and grant the license in Section 13. Do not share personal, confidential or account information in a stage.

Hosts and moderators may mute, remove or restrict participants. We may remove content or recordings at our discretion. Our Discord community is also subject to Discord's terms and our community rules.

12. Third-Party Services and Integrations

The Services may link to or integrate with third-party services, such as payment processors (including Stripe and Whop), Discord, brokerage and trading-platform connections, and data providers. Your use of those services is governed by their own terms and privacy policies. Skylit is not responsible for third-party services and is not a party to your relationship with any broker, prop firm or trading platform. Any future order-routing or brokerage connection will be subject to additional terms presented when it becomes available.

13. Intellectual Property and Your Content

The Services, including all software, designs, text, data compilations, visualizations, derived metrics, models, and the Skylit, Heatseeker, Flowseeker, Atlas, Nexus, Tempest, Talon, Arc, Aethos and related names and logos, are owned by Skylit, Inc. or its licensors and protected by intellectual-property laws. Except for the limited license in Section 14, no rights are granted to you.

You keep ownership of content you submit, such as chat messages, questions, ideas, reviews, and anything you say or share on Live Stages ("Your Content"). You grant Skylit a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, transcribe, edit, distribute and otherwise use Your Content to operate, improve and promote the Services. You confirm you have the rights to Your Content and that it does not infringe anyone's rights. If you send us feedback or suggestions, we may use them without obligation to you.

14. License, Content Usage and Redistribution

Subject to these Terms and an active subscription, Skylit grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services and the data, visualizations and analytics they display ("Content") for your own personal, non-commercial use.

Prohibited redistribution includes, but is not limited to:

• Live-streaming or screen-sharing real-time Content to any audience, including via Discord, Twitch, YouTube, Zoom or similar platforms
• Providing real-time access to anyone who does not hold their own active subscription, including through shared screens, mirrored displays or co-viewing
• Systematically redistributing Content in real time or near-real time, or reselling or commercially redistributing Content in any form

Permitted uses:

• Sharing screenshots of Content for educational, commentary, marketing or personal purposes
• Sharing recordings of past sessions for educational, commentary, marketing or personal purposes
• Discussing or referencing Content in writing

When you share Content, you must not present it as personalized advice or as a Skylit recommendation, and you must not remove or obscure Skylit branding or disclaimers. Where Skylit branding is not visible in what you share, credit "Data: Skylit" with a link to skylit.ai. If you are unsure whether a use is allowed, contact support@skylit.ai first. Violations may result in immediate suspension or termination without refund.

API use. If you use our APIs, MCP server, API keys or connected apps, the Skylit API Terms also apply. They let you share work built on API data publicly with attribution, and require a commercial license for paid, redistributed or business use.

15. Subscriptions, Payments and Cancellation

• Billing: paid plans are billed in advance through our checkout (processed by Stripe) or through Whop, at the price shown when you purchase, plus any applicable taxes.
• Automatic renewal: subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We will tell you in advance of any price change to your plan.
• Cancellation: you can cancel at any time from your billing page or, for Whop purchases, through Whop. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Plan changes: when you switch plans, unused time on your current plan is credited toward the new plan automatically.
• No free trial: paid plans do not include a free trial unless an offer states otherwise.
• Refunds: except where required by law or stated at the time of purchase, payments are non-refundable and there are no refunds or credits for partial periods.
• Promo codes and promotions are subject to the terms shown with them, may be limited to eligible buyers, and may be withdrawn at any time.
• Chargebacks: if you dispute a charge without first contacting us, we may suspend your account while the dispute is resolved.

16. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for Skylit or others, or if required by law. You may stop using the Services at any time. Sections that by their nature should survive termination (including 7 through 10, 13, and 17 through 22) survive.

17. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL DATA, CONTENT AND AI OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY INFORMATION WILL PRODUCE ANY PARTICULAR TRADING RESULT.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKYLIT AI INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, LICENSORS AND DATA PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICES OR ANY DATA, CONTENT OR AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

19. Indemnification

You agree to indemnify and hold harmless Skylit, Inc. and its officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, your trading decisions, or your violation of these Terms or of any law or third-party right.

20. Disputes

Before filing any claim, you agree to contact us at support@skylit.ai and try to resolve the dispute informally for at least 30 days. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Any claim that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you and Skylit consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

21. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, give notice through the Services or by email. Changes apply from the date posted unless stated otherwise. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using the Services and cancel your subscription.

22. General

These Terms, together with the Privacy Policy and any feature or purchase terms, are the entire agreement between you and Skylit about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control, including market, exchange, data-provider or network outages.
